12. Non-Disclosure Agreement
It is hereby agreed as follows: 1.The Translator agrees to keep all confidential information, including but not limited to, all trade secrets and/or proprietary information of the firm and its client in strict confidence and to take all reasonable precautions against publication or disclosure of the same. 2.This agreement encompasses all confidential information and/or trade secrets made known to the Translator during his/her engagement by the Firm. 3.The Translator agrees that he/she will not utilize the confidential information or trade secrets of the Firm and /or its clients either directly or indirectly, for any purposes except in the course of performance of the Translator’s duties pursuant to his/her engagement, unless otherwise expressly authorized by the firm in writing in advance. 4.Confidential information shall mean any information or documents transmitted by the Firm to the translator in written or verbal or any other form. 5.Confidential information includes, but is not limited to ideas, concepts, business plans, meeting reports, inventions, discoveries, formulas, processes, designs, specifications drawings, prototypes, samples, improvements, developments, applications, engineering, manufacturing and marketing data, customer name, trademarks, trade name and trade secrets, whether or not the same are or may be patents, registered or otherwise publicly protected, any commercial, financial, technical or strategic information proprietary to the Company and/or its Clients its clients. 6.The Translator understand that the above list is intended to be illustrative rather than comprehensive, and that other confidential information covered by this Agreement may not be set out this Agreement. 7.In the event of any dispute or lawsuit relating to the use or disclosure of confidential information, the Translator agrees that he/she shall bear the burden of proof in establishing that the information was not confidential or that its disclosure was authorized. 8.The Translator agrees to surrender to the Firm all notes, records, memoranda and documentation that was supplied to the Translator by the Firm during his/her engagement by the Firm upon request by the Firm and, in any event, upon termination of the Translator’s engagement by the Firm. These include all materials, whether in written or machine-readable form. 9.The Translator agrees that he/she shall not, by virtue of his/her association with the Firm, acquire any right in the confidential information, goodwill, property or the asset of the Company, whether tangible or intangible and whether or nor created by the Translator. 10.If any time during his/her engagement, the Translator in the course of his/her duties originates any work in which copyright and/or other intellectual property rights may subsist, he/she shall immediately notify the Firm and shall at the request and expenses of the Firm do all things necessary to assign without consideration such copyright and/or other intellectual property to the Firm.
